Legal Counsel

SRE is a leading renewable energy developer in Taiwan, with a pipeline of offshore wind projects across Taiwan and other parts of Asia such as Japan, Korea, Australia, and Philippines. SRE is a portfolio company of a fund managed by Stonepeak, a US-based infrastructure fund with regional headquarter in Hong Kong. 

In the role as Legal Counsel, you will be responsible for providing legal support and advice to SRE's business units across the region, including our projects under development phase and operational phase, advising on a wide range of internal and external legal matters within the group.

Scope Description:

As a key member of the Synera Renewable Energy team, your role will encompass the following:

• Support the contract team and lead, as necessary, negotiations of contracts based on TW law.
• Support the contract team with drafting, reviewing and negotiating any amendments and/or variations to existing contracts.
• Review all contractual correspondence and draft responses as necessary.
• Ensure that the project company runs in accordance with the shareholders’ agreement and delegation of authority (DOA).
• Act as the liaison between the project company, its Steering Committee members, Board of Directors and shareholders, facilitating effective communication.
• Establish, manage and implement of company policies, internal rules, and procedures.
• Liaise with external law firms on company filings and foreign investment filings, if applicable.
• Maintain updated corporate records, including articles of association, structure chart, board and shareholders’ resolutions.
• Conduct legal research and analysis on the renewable energy regulations and other relevant regulations (e.g. environmental) in Taiwan as well as in other potential markets. 

Qualifications:

To excel in this role, you should possess the following qualifications:

• Licensed to practice law in Taiwan or other jurisdiction. 
• 3 years+ working experience in international companies and/or renowned law firms. 
• Experience and knowledge in the energy and renewable sector would be a plus.
• Excellent verbal and written communication skills in Mandarin and English.
• Good research, presentation and communication skills.
• This is a mid to senior level position, reporting to the Chief Legal Officer. The candidate must be able to work independently.
