Scope Description:
As a key member of the Synera Renewable Energy team working on the project, your role will encompass the following:
- Corporate Governance and Compliance
- Ensure that the project company runs in accordance with the shareholders’ agreement and delegation of authority (DOA).
- Act as the liaison between the project company, its Steering Committee members, Board of Directors and shareholders, facilitating effective communication.
- Assist in the development and implementation of corporate policies and procedures at the project level.
- Shareholder, Board and Steering Committee Meetings
- Organize, schedule, and prepare for shareholder, board, and steering committee meetings, ensuring agendas and materials are well prepared and distributed in advance.
- Record accurate minutes of meetings, track action items, and follow up with responsible parties on relevant decisions.
- Filings
- Ensure company registrations are up to date, timely submission of all change of registrations.
- Liaise with external law firms on company filings and foreign investment filings, if applicable.
- Maintain updated corporate records, including articles of association, structure chart, board and shareholders’ resolutions.
Qualifications:
To excel in this role, you should possess the following qualifications:
- Bachelor’s degree in Business Administration, Law, or a related field.
- 5+ years of experience as a legal or similar governance role.
- Experience and knowledge in the energy and renewable sector would be a plus.
- Excellent verbal and written communication skills in Mandarin and English.
- Proficient in Microsoft Office Suite, with strong skills in PowerPoint, Excel, and Word for preparing presentations.
- Strong communication skills.
- Strong understanding of corporate law, regulatory compliance, and governance best practices.
